1. Parties and scope
These Terms govern the use of the TokenRail API, dashboard and related services (the "Service") provided by COINTENDER CAPITAL OÜ, registration number 1612012, 12 Ahtri Tn, 10151 Tallinn, Estonia ("TokenRail", "we"). The Service is intended for businesses and professional users. By creating an account or using the Service, you accept these Terms on behalf of the organisation you represent.
2. Accounts and API keys
You are responsible for the security of your account and API keys and for all usage made with them. Notify us promptly at hello@tokenrail.cloud if you suspect unauthorised use.
3. Prepaid credits and charges
- The Service operates on prepaid credits. The minimum credit purchase is €25.
- Usage is charged at the rates in the published model catalog at the time of the request, plus a routing fee of 5% of model usage.
- Failed requests are not charged.
- Prices exclude VAT; VAT is applied where legally applicable.
- We may change rates prospectively by updating the catalog. Changes do not affect requests already processed.
Refunds and credit expiry are governed by the Refund and Credit Policy.
4. Acceptable use
You must comply with applicable law and with the usage policies of the underlying model providers. You must not use the Service to create unlawful content, infringe third-party rights, attempt to circumvent limits or security measures, or resell access in breach of these Terms.
5. Third-party models
Models are provided by third parties. Model availability, behaviour and outputs may change. You are responsible for evaluating outputs before relying on them.
6. Customer data
You retain your rights in inputs and outputs. We process them to provide the Service, including forwarding them to the selected model providers. Processing of personal data is described in the Privacy Policy; a data processing agreement is available on request.
7. Service availability
We aim to provide a reliable Service but do not guarantee uninterrupted availability unless agreed in a separate written agreement.
8. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, non-payment or where required by law, with notice where reasonably possible.
9. Liability
To the extent permitted by law, our aggregate liability is limited to the amounts you paid in the twelve months before the event giving rise to the claim, and we are not liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.
10. Governing law
These Terms are governed by the laws of the Republic of Estonia. Disputes are subject to the competent courts of Estonia, unless mandatory law provides otherwise.
